ELECTRONIC BOOKLETS
LICENSE AGREEMENT

  1. Licensee (Subscriber) agrees that Javelin Marketing, Inc., a California Corporation, 1647 Willow Pass Road. #164
    Concord, Ca 94520 owns all Copyrights on all versions (including Personalized Versions) of its Electronic Booklets (eBooklets).

  2. Subscribers that have paid Javelin Marketing, Inc. in full for eBooklet(s) may download and distribute the purchased eBooklets (as printouts or email attachments) with this Use License to their clients or prospective clients, subject to the following terms and conditions:

    1. Subscriber may only modify the content that you are enabled to modify on Javelin’s Web site, such as your biography, information about your company, and your photo (Personalized Version).

    2. Subscriber may only use the eBooklets to promote your own business in your own name by distributing it only to your clients and potential clients.

    3. This Use License is non-exclusive and will not be applicable or assignable to Subscriber’s partners, employer, employees, agents, or any other person or entity. However, Subscriber’s employees and agents may distribute it for Subscriber in your name.

    4. The License is valid only for the region in which you are currently doing business or intend to do business.

    5. Title to Subscriber’s Personalized Version will remain with Javelin until such time as there has been a transfer of the eBooklet to your clients or potential clients. Javelin is the exclusive owner of the Copyright to all Personalized Versions at all times.

    6. Subscriber acknowledges that Javelin updates eBooklets annually on March 1 and the version being distributed, which is dated March 1 of the current year, may not be distributed after February 28 of the following year. Every March 1st, Javelin will provide updated eBooklets on its website for use by those Subscribers which have a fully paid a valid Use License at that time. Please Note that use of outdated eBooklets may violate statutory regulations and may jeopardize your professional license.

    7. Distribution of eBooklets by Subscriber is prohibited upon termination or expiration of your Subscription or cancellation from the Seniorleads program.

  3. On March 1st of each year, your eBooklet subscription will automatically renew for an additional twelve (12) months, and payment for the renewal period will become due and payable and automatically charged to Subscriber’s Credit Card, unless Subscriber cancels the subscription before that date. All charges are final and non-refundable.

  4. Javelin Marketing, Inc. has the right to cancel this License at any time, should Subscriber not fully adhere to the terms of this License Agreement.

  5. This License Agreement, and any license regarding a Personalized Version of this booklet, shall be deemed to have been made in the State of California and shall be governed by and interpreted in accordance with the laws of the State of California, as those laws are applied to contracts entered into and to be performed entirely in California by California residents. In the event that a court of competent jurisdiction makes a final determination that any clause of this License Agreement, or any license regarding a Personalized Version of this booklet, is void or unenforceable, all of the remaining provisions shall remain in full force and effect and shall be fully enforceable. Any legal proceedings arising out of or relating to this License Agreement or copyright, or any license either in the regarding a Personalized Version of this booklet, shall be commenced Superior Court of the State of California for Contra Costa County (the county of Javelin’s principal place of business) or the U.S. District Court for the Northern District of California (the judicial district for Javelin’s principal place of business). Javelin and any and all persons or entities who use the sample booklet or a Personalized Version in any way for any purpose agree to submit to the jurisdiction of said courts, and to the extent permitted by applicable laws hereby waive any right to challenge venue on the basis of inconvenient forum or otherwise.
